Vendor Agreement, Terms and Conditions
This Vendor Agreement (the "Agreement") is entered into between Henagi (the "Company") and the Vendor (the "Vendor") for the provision of online mobile fuel delivery service (the "Service"). By accepting this Agreement, the Vendor agrees to comply with all the terms and conditions outlined below:
- Scope of Services: The Vendor agrees to offer mobile fuel delivery services to customers as directed by the Company. This includes delivering fuel to the specified location, adhering to safety regulations, and maintaining proper documentation.
- Independent Contractor: The Vendor acknowledges that they are an independent contractor and not an employee, partner, or agent of the Company. The Vendor is responsible for all taxes, licenses, and insurance required for their business operations.
- Qualifications and Licenses: The Vendor represents and warrants that they possess all necessary qualifications, licenses, permits, and certifications required by applicable laws and regulations to provide the Service.
- Pricing and Payment: The Company and the Vendor shall agree upon the pricing structure for the Service. The Vendor shall issue invoices to the Company for services rendered, and payment will be made according to the agreed terms.
- Health and Safety: The Vendor shall comply with all applicable health and safety regulations, ensuring that all equipment, vehicles, and processes are maintained in a safe and clean condition. The Vendor shall also provide appropriate personal protective equipment to its employees.
- Insurance and Liability: The Vendor shall obtain and maintain appropriate insurance coverage, including general liability insurance, auto insurance, and worker's compensation insurance. The Vendor shall be solely responsible for any liability, damage, loss, or injury arising from their provision of the Service.
- Confidentiality: The Vendor shall treat any confidential information of the Company, including customer details, pricing structures, and business strategies, as strictly confidential. The Vendor shall not disclose or use such information for any purposes other than as required to perform the Service.
- Termination: Either party may terminate this Agreement with written notice to the other party. In the event of termination, the Vendor shall fulfill any pending orders and return any Company property or equipment in their possession.
- Governing Law and Jurisdiction: This Agreement shall be governed by and interpreted in accordance with the laws of [Jurisdiction]. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Nigeria.
- Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
By accepting this Agreement, the Vendor acknowledges that they have read, understood, and agreed to abide by its terms and conditions.
